  • Split revenue by market and confirm which are regulated, tolerated or gray

License and legal position

  • Confirm whether the deal is a share transfer, an asset sale, or a migration onto your own license
  • Malta, UK and Isle of Man licenses need change of control approval, which takes four to six months and can fail

Why do I have to place a $50,000 deposit?

Sellers are releasing confidential trading data, player figures and license documents. The deposit filters out competitors gathering intelligence and buyers with no means to complete. It is held in escrow rather than by us, credited against your purchase price if you buy, and refunded in full if you walk away or no deal is agreed.

Do I need a gaming license to buy an online casino?

Not always. If the deal is a share transfer, you acquire the company that already holds the license, subject to the regulator approving the change of control. If you already hold a license, many assets can be migrated onto it instead, which is often faster. Affiliate sites, domains and most B2B tooling need no license at all.

Sellers list anonymously so their staff, players and affiliate partners do not learn the business is for sale. Once you pass proof of funds and the seller approves your request, you sign an NDA and receive the full identity and data room.

How long does an acquisition take?

Median time from listing to signed letter of intent is 34 days. Completion depends on structure. An asset sale with no license dependency can close two to three weeks after the letter of intent, while a change of control application in Malta or the UK adds four to six months.

What happens to the player database?

It transfers with the business, but the lawful basis for contacting those players does not transfer automatically. Expect to re-permission the list in regulated markets, and treat any seller who is casual about this as a compliance risk rather than a bargain.

Can I buy a business that operates in gray markets?

Assets with gray-market revenue are listed and do sell, but the share of revenue from those markets must be disclosed. Price the exposure in rather than ignoring it, since it affects both your multiple and your ability to bank the business later.
